1. Acceptance of Terms

By accessing and using APilot ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on APilot for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose, or for any public display
• Attempt to decompile or reverse engineer any software contained on the Service
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Violate any applicable laws or regulations
• Access or search the Service by any means other than our publicly supported interfaces

3. Account Registration

When registering for APilot, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Be responsible for all activities under your account
• Notify us immediately of unauthorized access
• Ensure you have legal authority to bind your organization
• Comply with Indian business and financial regulations

4. Acceptable Use Policy

You agree not to use APilot for:

• Illegal activities or money laundering
• Fraud, phishing, or financial crimes
• Tax evasion or GST manipulation
• Unauthorized payment processing
• Creating fake invoices or vendor accounts
• Harassing or threatening other users
• Introducing malware or attempting to breach security

5. Invoice and Payment Processing

APilot provides AI-powered invoice processing and payment automation. You acknowledge that:

• You are responsible for accuracy of vendor and payment information
• All invoices processed must be legitimate and authorized
• Payments are executed in accordance with RBI and banking regulations
• You maintain records for GST and tax compliance (typically 5-7 years)
• APilot automates processing but does not replace human audit responsibility

6. GST Compliance

While APilot validates GST details and assists with compliance, you remain responsible for:

• Ensuring all invoices have valid GST numbers
• Maintaining compliance with IGST, SGST, and CGST regulations
• Filing timely GST returns and maintaining audit trails
• Verifying vendor legitimacy and GST registration status

7. AI and Automated Processing Disclaimer

APilot uses AI to extract invoice data and validate information. While our systems are accurate, we do not guarantee 100% precision. You should review critical information before payment execution. APilot is not responsible for errors in manual data entry or intentionally fraudulent invoices.

8. Payment Terms and Pricing

APilot operates on a subscription model. Pricing is based on:

• Number of invoices processed per month
• Number of user accounts and approval workflows
• Integration with accounting software (Tally, Zoho)
• Payment rail usage (UPI, IMPS, NEFT)

Invoices are due within 30 days. We reserve the right to suspend service for non-payment after 15 days of notice.

9. Limitation of Liability

To the fullest extent permitted by Indian law, APilot and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, revenue, or business opportunity arising from your use or inability to use the Service, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless APilot from any claims, damages, losses, or expenses arising from your violation of these Terms, misuse of the Service, or breach of applicable laws including GST and financial regulations.

11. Intellectual Property Rights

All content on APilot, including but not limited to text, graphics, logos, software, and code, is the property of APilot or its content suppliers and is protected by Indian and international copyright laws. You may not reproduce, distribute, or transmit any content without written permission.

12. Termination

Either party may terminate service with 30 days written notice. APilot may terminate immediately if you violate these Terms, engage in illegal activity, or fail to pay invoices after 15 days of notice. Upon termination, you must cease use of the Service and return or destroy all confidential information.

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of courts in India, and you waive any objection to venue in such courts.
